Resolution CVM 160 – Adaptation to Meet the New Public Offering Rule

Updates to the NoMe platform became available on January 2, 2023 and will continue to be implemented throughout the first half of 2023

With the entry into force of CVM Resolution 160 on January 2, 2023, which provides for public offerings of securities, a series of processes and changes to the NoMe OTC platform were needed for B3 to comply with its obligations before the regulator.

On January 2, 2023, B3 delivered the necessary implementations to adapt to the rule. Among such implementations, we created a tool to assist the market in complying with trading restrictions, which is a major impact point.

As well as the essential implementations, other updates will be developed in our system to add value for our clients. See below for further details.

The adaptations will impact the following assets in the OTC segment:

· Debenture

· Commercial Paper

· Real Estate Receivables Certificate (CRI)

· Agribusiness Receivables Certificate (CRA)

· Closed-End Fund Shares

· Entry of new data in the registration of the above assets

· Availability of queries to help public offering intermediaries to observe the trading restrictions defined by the new rule

Provides for public offering of primary or secondary distribution of securities and for the trading of securities offered on regulated markets, and revokes CVM Instruction No. 400, dated December 29, 2003, CVM Instruction No. 471, dated August 8, 2008, CVM Instruction No. 476, dated January 16, 2009, CVM Instruction No. 530, dated November 22, 2012, and CVM Resolution No. 476, dated January 25, 2005, CVM Resolution No. 533, dated January 29, 2008, CVM Resolution No. 809 , dated February 19, 2019, CVM Resolution No. 818, dated April 30, 2019 and CVM Resolution No. 850, dated April 7, 2020.
